Corporate Governance Policy

Introduction 

Arrow Group Global Ltd is dedicated to maintaining high standards of corporate governance to ensure accountability, transparency, and ethical behaviour across all levels of the organization. We aim to operate with integrity, transparency, and long-term sustainability at all levels of the organization. 

Corporate Structure and Responsibilities 

Our governance framework ensures clear roles and responsibilities for the board of directors, executives, and employees: 

  • Board of Directors: Oversees the company’s strategic direction, ensures compliance with laws and regulations, and protects shareholder interests. 
  • Executive Management: Implements the company’s strategy, manages daily operations, and ensures alignment with corporate goals, and reporting directly to the board. 
  • Employees: Adhere to company policies and act in accordance with ethical standards to support organizational success. 

Ethical Standards and Compliance 

We are committed to ethical conduct and compliance with applicable laws and regulations. Our commitments include: 

  • All employees and directors are expected to act with honesty, integrity and professionalism. 
  • Adopting a Code of Conduct including anti-bribery, anti-corruption and anti-bullying policies, which is incorporated in our Employee Handbook. 
  • A whistleblower policy is in place to encourage the reporting of unethical or illegal behaviour without fear of retaliation (also incorporated in our Employee Handbook). 
  • Regularly reviewing policies to ensure they are relevant and compliant with current laws. 

Transparency and Accountability 

Transparency and accountability are fundamental to building trust with stakeholders. Our practices include: 

  • Maintaining accurate and timely financial reporting in accordance with accepted accounting standards. 
  • Monthly board meetings are held, where reports from each department are scrutinized and feedback provided. This includes reviewing the financial statements and key performance indicators. 
  • Annual strategy events are held at the beginning of each year, transparently giving clear communication on company performance and strategic goals. Strategy review events are also held during the year. 
  • Conducting regular performance evaluations for the board, management, and employees, with monthly one-to-ones and annual appraisals. 

Risk Management 

We prioritize the identification and mitigation of risks to ensure the company’s long-term success. Our approach includes: 

  • Maintaining a Risk Register which is reviewed at monthly board meetings. 
  • Encouraging a culture of proactive risk awareness and preparedness across all levels of the organization. 
  • Maintaining a Health & Safety policy, holding regular external H&S audits and reviewing H&S actions at monthly board meetings. 

Shareholder and Stakeholder Engagement 

We value the input and trust of our shareholders and other stakeholders. Our engagement practices include: 

  • Ensuring clear and accessible communication channels for stakeholders. 
  • Considering stakeholder interests in decision-making processes to balance profitability with social responsibility. 

Sustainability and Social Responsibility 

Corporate governance extends to fostering sustainability and social responsibility. 

  • Arrow Group is committed to environmentally sustainable practices, including responsible sourcing of materials and waste reduction in manufacturing. We maintain ISO 14001 certification for Environmental Management Systems. 
  • Integrating environmental, social, and governance (ESG) considerations into our decision-making. 
  • Our social responsibility includes fair labour practices such as paying the Real Living Wage to employees. See our Social Responsibility policy for more details. 
  • Our governance includes transparency in reporting and accountability at all organizational levels. 

Monitoring and Continuous Improvement 

To maintain the effectiveness of our governance practices, we commit to: 

  • Conducting regular reviews of governance policies and frameworks. 
  • Keeping abreast of industry best practices and evolving regulatory requirements. 
  • Maintaining ISO 9001 Quality Management and ISO 14001 Environmental Management Systems certification.
